THIS DEED OF TRUST EXECUTED THIS
NINETEENTH DAY OF JUNE, ONE THOUSAND NINE HUNDRED EIGHTY THREE. BY SRI
Y.V. NARAYANAYYA S/O.SRI Y.SUNDARARAMAYYA (hereinafter called the ‘ AUTHOR’ of
the TRUST), residing at PRASANTHI NILAYAM P.O.,DISTRICT ANANTAPUR,
A.P.-515314.
WITNESSETH AS UNDER:
2. WHEREAS the ‘Author’ is desirous
of constituting a Trust for the purpose of Education with a view to bringing
about an integrated personality of man with due recognition of the spiritual, emotional, ethic intellectual and human aspects of the individual and
to establish educational institutions which would impart such training as would
enable the cultivation, development and evolution of such personalities, as
hereinafter mentioned.
3. WHEREAS with the said intent the
Author has set apart a sum of Rs.1000/-(rupees one thousand only) which he has
handed over to the Trustees hereinafter mentioned to hold the same upon Trust
together with all the income arising therefrom and all the accumulations and
accretions thereto for the intent purpose and objects herein
contained.
4. WHEREAS the Author desires, to
reduce to writing the terms of the Trust:
5. NOW THIS DEED OF TRUST
WITNESSETH AS FOLLOWS:
i) The
Author has this day transferred and given unto the Trustees a sum of
Rs.1000/-(rupees one thousand only) to be held upon Trust together with all the
income arising therefrom and all the accumulations and accretions thereto for the
intent purpose and objects herein contained.
ii) The name of the Trust shall be SRI SATHYA SAI BOOKS AND PUBLICATIONS TRUST. The
registered Office of the Trust shall be at Brindavan Kadugodi,Bangalore-560 067
and the Administrative Office at Prasanthi Nilayam
P.O.,Dist.Anantapur,A.P.515314. The Trustees may determine the location of
additional office as and when necessary.
iii) The objects of the Trust : Education, which without in any way
taking away the generality of its meaning,will include the following objects
namely:
(a) To establish, maintain, run, develop, improve, extend, grant
donate for and to aid in the establishment, maintenance, improvement and
extension of such Schools, Colleges, Polytechnics and other educational
institutions including Vocational Training Centres, Research Centres and Audio
Education Centres, and Hostels for the students pursuing their
studies.
(b) To Institute studentships, scholarships, stipends, medals, prizes
etc., to help and encourage deserving students and to provide monetary aid to
students, scholars and teachers for pursuing their educational
activities.
(c) To establish, maintain, develop, and donate for the
establishment, maintenance and development of Book Banks and
Libraries.
(d) To organise, conduct and assist in the organising and
conducting of lectures, seminars and symposia on arts, science, commerce and other
subjects of general academic interest to students.
(e) To undertake, support and carry out the publication
and/or sale of books, journals, periodicals and other literature which will
educate the public in all aspects of education as hereinafter
mentioned, highlighting among other things the evolution of man and his journey
towards the Absolute Truth and instilling and developing values in life
including ethical, spiritual, intellectual, emotional, humanitarian and the
like and disseminating among them the concepts of oneness of God, the unity
of man and the equality of all, so that such knowledge and information
would contribute to the goal of evolving a total man, so however, that such
activities would be carried on without a motive for profit.
(f) To do all that is necessary and incidental for the purpose of
achieving the objects in (a) to (e) above.
(6) The Trust hereby created shall
be irrevocable.
(7) The term ‘Trust Property’ shall
mean and include the said sum of Rs.1000/- set apart by the Author and further
grants, donations and contributions of money, and or property movable or
immovable, that may be made by the Author or by others from time to time and
other accumulations thereof in whatever form they may be varied from time to
time.
(8) The Trust - property shall vest
in the Board of Trustees who shall hold, manage, and administer the Trust in
accordance with the terms and provisions thereof.
9. THE BOARD OF TRUSTEES.
(a) The Board of Trustees shall be constituted by Sri Sathya Sai
Central Trust, Prasanthi Nilayam.
(b) The Board of
Trustees shall consist of a minimum number of three Trustees and a maximum
number of five Trustees.
(c) The first Board of Trustees constituted as above shall
consist of the following:
1. Sri L.S.S.CHAKRAVATHY.
2. Dr. B.Mavin Kurve.
3. Sri V.K.Narasimhan.
4. Sri Y.V.Narayanayya
and
5. Sri Rajesh Khanna.
Sri Y.V.Narayanayya will be the Convener of the Trust.
(d) Not-withstanding what has been stated in clause (c)
above any of the Trustees may retire after giving a calendar month’s notice in
writing of intention to do so to each of the other Trustees for the time being
and upon the determination of such month, the Trustee giving such notice shall
ipso-facto cease to be the Trustee of the Trust. The vacancy thus arising shall
be filled by Sri Sathya Sai Central Trust, Prasanthi Nilayam.
10. Without prejudice to the
generality of the powers the Trustee shall have the following powers:
i) To employ clerks and other employees, Agents, Bankers, Lawyers, Accountants,
and others on such remuneration as they may think fit.
ii) To delegate any powers as they can lawfully delegate to any
other person and to execute such power as they may think fit for the
purpose.
iii) To convert, to call in, to sell or otherwise dispose of any of
the investments comprised in the Trust property and reinvest or change the
nature of any other investment contained therein.
iv) To
invest Trust monies in Fixed Deposits with Nationalised Banks, Government
Securities or any other investments as provided for in section 13(1) (d) read
with section 13(5) of the Income Tax Act,1961.
v) To
withdraw any power or revoke any appointment of any employee or
attorney.
vi) To sell
any immovable property belonging to the Trust.
vii) To let any
portion of any immovable property forming part of the Trust funds, at such rent
and for such period and on such terms and conditions as they may think fit and
accept surrender of any lease.
viii) To maintain
Bank Accounts in the name of the Trust. The Bank Account will be operated
jointly by the Convener of the Trust and nominee/s authorised for this purpose
by the Board of Trustees.
ix) To appoint
proxy or proxies for voting at any meeting of creditors,
contributors, contributories,shareholders or otherwise.
x) To raise
loans on the mortgage of the Trust properties movable or immovable with the
consent of the Board of Trustees.
xi) To
borrow funds with or without security of the property and for this to mortgage,
charge and encumber any asset movable or immovable.
xii) To
accept gifts, donations or contributions in so far as they are not inconsistent
with the objects of the Trust and all such gifts, donations and contributions
shall form part of the corpus of the Trust, unless it is otherwise specifically
given in writing by the donor.
xiii) To establish
Trusts and other institutions having objects similar to those of
this-Trust.
Provided further
that any or all these powers can be exercised by any Trustee or any group of
them on being authorised by the Board of Trustees.
11. These powers
of the Trustees shall generally be so exercised as to ensure that the income of
the Trust would be exempt under section 11 of the income Tax Act,1961, as read
with sections 12 and 12-A,. It is clarified that the powers of investment of the
Trust funds (including those mentioned in clause 10(iv),shall be exercised in
accordance with the provisions of section 13 of the Income Tax Act,1961 in
generally and in particular, shall not violate the provisions of section 13(1) (d)
read with section 13(5) of the Act so as to ensure exemption under the
Act.
12. The Trustees
shall keep at Administrative office of the Trust, proper books of account of the
income and expenditure of the Trust, which shall be closed every year on 31st
March. They shall be audited by a Chartered Accountant and a certificate
obtained.
13. The Trustees
shall at all times stand indemnified in respect of any acts that may have been
bonafide done in respect of matters relating to the Trust, but they shall not be
entitled to any remunerating.
14. Any
decision taken by majority of the Trustees including the Convener, at any
Trust meeting shall be valid and binding on all the Trustees and powers so
vested in or exercisable by the Trustees shall be valid and binding on the
Trust.
15. A
minutes book shall be maintained at the Administrative Office
by the Board of Trustees. Minutes of all
meetings, appointment and entry to the office of every new Trustees and all other
proceedings of the Board of Trustees shall be entered and recorded in such
minutes book and shall be signed by the Chairman of the meetings either at the
conclusion thereof or at a subsequent meeting when they are duly
confirmed.
16. The Convener
shall at all times during his continuance in the office, have the right to
delegate his power to any of the remaining Trustees or to other attorneys, or
agents, with the prior consent of the Board of Trustees.
17. The Trustees,
by a majority, are empowered to frame the rules governing the administration of
the Trust in a manner not inconsistent with the objects of the Trust, provided
that such rules are in no way repugnant to the provisions of clause 11 of the
Deed.
18. In the event
of the determination of the Trust or dissolution, for any reason, the Trustees
shall make over or transfer the properties of the Trust to a charitable
institution or a charitable Trust having similar objects to those of this Trust,
provided that under no circumstances the properties of the Trust at the time of
dissolution or at any time shall be distributed among the Trustees.
